End User License Agreement

This End User License Agreement (the "Agreement") is a binding contract between you ("you", "your") and Jacob Hyde, doing business as Verdict Strategy Builder (the "Operator", "we", "us"), covering the Verdict Strategy Builder (NT8) desktop application, its cloud services, and the verdictstrategybuilder.com website (together, the "Software").

You accept this Agreement by creating an account, purchasing a subscription, activating a license key, or clicking "I agree" when the Software first runs. If you do not agree, do not use the Software.

1. What the Software is — and is not

The Software generates, backtests, validates, and ranks trading strategy candidates for NinjaTrader 8, and can export them as NinjaScript source code.

The Software is an analysis and code-generation tool. It is not a broker, not an advisor, and it does not place trades. Nothing it produces — builds, verdicts, rankings, statistics, or generated code — is investment advice or a recommendation to trade. See Section 11 for the risk disclaimer that you should actually read.

NinjaTrader® is a trademark of NinjaTrader Group, LLC. We are not affiliated with, endorsed by, or sponsored by NinjaTrader Group, LLC. Your use of NinjaTrader 8 is governed by your own agreement with them.

2. License grant

While your subscription is current (or your beta license is live) and you comply with this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable license to install and run the desktop application on up to two (2) devices at a time, for your own trading and research.

You may not: share, sell, rent, or sublicense the Software or a license key; use one account or key for more than one person; circumvent or interfere with license enforcement, activation, or the required backup sync; or reverse engineer, decompile, or modify the Software except where the law expressly permits it despite this limitation.

3. Account, activation, and re-validation

The Software requires an account and an activated license key. Activation is an online call that binds one of your two device seats and issues this install a signed, time-limited license token; the token is then verified locally — day-to-day use does not require a connection.

In the background the application periodically contacts our servers (a "heartbeat") to renew the token — roughly every three weeks of offline use is tolerated between successful check-ins. While your subscription is current the renewal is silent. If your subscription lapses, or a key or device seat is revoked, renewal stops and the application reverts to a limited "look-around" mode (browsing existing data and results) once the current token expires. You can free device seats yourself in the application or from your account portal.

4. Mandatory private backup sync — read this section

As a condition of the license, the desktop application uploads your builds, run results, strategy definitions, and their leaderboards (small JSON metadata) to your account on our servers. This is what powers backup and cross-device restore, and it is how we can support you when something breaks.

• Your synced data is private to your account. No other customer can see it. There is no public leaderboard, no sharing, no social surface.
• The Operator can access your synced data — for backup integrity, support, abuse prevention, and product oversight. We treat your strategies as your confidential intellectual property (Section 5) and do not disclose them to other customers or third parties except as described in the Privacy Policy.
• Your imported market data never uploads. Price data, bars, and parquet files stay on your machine.

If you do not want strategy metadata synced to your account, do not use the Software — sync cannot be disabled while the license is active.

5. Your content and generated code

You keep all rights to your strategies, build configurations, run results, and the NinjaScript code the Software generates from them. We claim no ownership of your trading logic. You grant us a limited license to store, copy, and process your synced data solely to operate the services described in this Agreement (backup, restore, support, enforcement).

6. Subscriptions, billing, and refunds

Paid access is sold as a monthly or annual subscription. Checkout, billing, tax, and payment processing are handled by Stripe acting as merchant of record; the price, currency, and any tax are shown at checkout. Subscriptions renew automatically until cancelled. Cancelling stops future renewals; access continues until the end of the period already paid, after which the application reverts to look-around mode.

Money-back guarantee. If the Software isn't for you, we will refund your first subscription purchase in full — email support@verdictstrategybuilder.com within 14 days of your initial purchase. The guarantee ends early the moment you export your first strategy: exported NinjaScript is standalone code that remains yours permanently, so an export is treated as full delivery of the product. The application notifies you before your first export, and exports made while you are refund-eligible require an internet connection so they can be recorded; refund requests are verified against your account's activity record. This guarantee covers your first purchase only — renewals and subsequent billing periods are non-refundable once started, unless a longer period is required by law, and it is in addition to any rights you have under applicable consumer law. For anything else that went wrong (duplicate charges, failed activations), contact support@verdictstrategybuilder.com and we will sort out reasonable cases promptly.

7. Beta licenses

During the beta period we may issue free, operator-granted license keys. Beta keys carry the same account, seat, and sync conditions as paid keys, plus these: they confer no entitlement to continued access, they may be revoked at any time — individually or all at once when the beta ends — without notice or compensation, and beta builds may be less stable than release builds. When a beta key is revoked, the application locks after the current license token expires, and continuing requires a subscription.

8. Updates and availability

The application may check for, download, and install updates. Cloud services (activation, renewal, sync, downloads) are provided on a reasonable-efforts basis and may be briefly unavailable; the offline-tolerance window in Section 3 exists so that routine downtime does not interrupt your work. We may modify or discontinue features that do not materially reduce what you paid for.

9. Termination

You may stop using the Software at any time; cancelling the subscription ends renewals as in Section 6. We may suspend or terminate your license if you materially breach this Agreement (including key sharing, enforcement circumvention, or abuse of the services), and where practical we will say why. On termination the license grant ends and the application reverts to look-around mode; Sections 4–5 and 10–13 survive. Data deletion and export are covered in the Privacy Policy.

10. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE, THAT BACKTEST RESULTS ARE ACCURATE OR COMPLETE, OR THAT GENERATED CODE WILL BEHAVE IN LIVE MARKETS AS IT DID IN SIMULATION.

11. Trading risk disclaimer

Futures and derivatives trading involves substantial risk of loss and is not suitable for every investor. You alone are responsible for any trading decision, order, or live deployment of generated code, and for complying with the rules of your broker, exchange, and jurisdiction.

Hypothetical performance disclosure: results produced by the Software are hypothetical. HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. HYPOTHETICAL RESULTS DO NOT REPRESENT ACTUAL TRADING, ARE GENERALLY PREPARED WITH THE BENEFIT OF HINDSIGHT, DO NOT INVOLVE FINANCIAL RISK, AND CANNOT ACCOUNT FOR FACTORS SUCH AS SLIPPAGE, LIQUIDITY, OR THE DISCIPLINE REQUIRED TO ADHERE TO A PLAN IN THE FACE OF ACTUAL LOSSES.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING FROM OR RELATED TO THE SOFTWARE — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE (OR US $50 IF YOU PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

13. Changes to this Agreement

We version this Agreement. If we change it materially, the application will present the new version for acceptance at startup and the current version is always published on the website. Continuing to use the Software after accepting a new version means the new version applies. If you decline, stop using the Software; your existing paid period is honored under the version you accepted.

14. General

This Agreement is the entire agreement about the Software and supersedes prior discussions. If a provision is held unenforceable, the rest remains in effect. You may not assign this Agreement; we may assign it in connection with a sale or reorganization of the business. This Agreement is governed by the laws of the jurisdiction in which the Operator is established, without regard to conflict-of-laws rules, and disputes belong to the courts of that jurisdiction.
